When you place an order, you are making an offer to purchase. Cloudette reserves the right to accept or decline an order for any lawful reason. An order is not accepted until Cloudette confirms acceptance. We must receive and process your payment before an order is accepted.

Please review your order carefully before submitting it. Cloudette may be unable to accommodate cancellation requests after an order has been accepted or processed. If we decline, change, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or phone number provided with the order.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect when the order is placed and will be shown in your order confirmation. Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping, handling, customs duties, or import charges.

Prices displayed in our online store may differ from prices offered through physical stores, third-party marketplaces, or other stores operated by third parties. Promotions may be subject to separate terms and conditions. If promotional terms conflict with these Terms, the promotional terms will control with respect to that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases. You agree to promptly update relevant information, including your email address and payment details, so that we can complete transactions and contact you when necessary.

You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the selected payment method; (iii) charges incurred by you will be honored by your payment provider; and (iv) you will pay all amounts due, including applicable shipping, handling, customs, and taxes.

SECTION 5 — SHIPPING AND DELIVERY

All processing and delivery times are estimates and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, severe weather, service disruptions, incorrect delivery information, or other events outside our reasonable control, except where applicable law provides otherwise.

Allow approximately 3–6 business days for order processing. Estimated transit time is generally 3–8 business days within the United States and 3–12 business days for international destinations. Weekends and public holidays are not included in these estimates. Tracking information will be emailed when it becomes available.

International customers are responsible for customs duties, import taxes, and related charges unless otherwise stated at checkout. Customs processing may delay delivery.

Other names, logos, product and service names, designs, and slogans are the property of their respective owners.

We may provide access to tools or functionality offered by third parties that we do not monitor, control, or operate.

We are not responsible for loss or damage arising solely from your use of optional third-party tools.

Cloudette is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services. Purchases made through our store are transactions directly between you and Cloudette.

To the fullest extent permitted by applicable law, Shopify is not responsible for the products sold by Cloudette or for matters arising from transactions between you and Cloudette. Nothing in this section limits rights or remedies that cannot lawfully be excluded.

We are not obligated to keep Feedback confidential, compensate you for Feedback, or respond to it, except where required by applicable law or agreed in writing.

We may monitor, edit, or remove Feedback that we reasonably determine is unlawful, infringing, abusive, obscene, misleading, or otherwise violates these Terms. You must not submit Feedback that infringes a third party’s rights, contains unlawful material or malicious code, misrepresents your identity, or misleads others about its origin. WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

SECTION 16 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLOUDETTE AND ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. WHERE LIABILITY CANNOT BE FULLY EXCLUDED, IT WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Cloudette and its affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from: (i) your material breach of these Terms; (ii) your violation of applicable law or a third party’s rights; or (iii) your unlawful or unauthorized use of the Services.

We will provide reasonable notice of an indemnifiable claim. A delay in notice will not relieve you of your obligations except to the extent that the delay materially prejudices your defense. We may participate in or control the defense and settlement of a claim, but we will not agree to a settlement that imposes a non-monetary obligation on you without your reasonable consent. You agree to provide reasonable cooperation in the defense of an indemnified claim.

SECTION 18 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the unenforceable portion will be severed. The remaining provisions will remain valid and enforceable.

SECTION 19 — WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms and the policies or operating rules posted through the Services constitute the entire agreement between you and Cloudette concerning your use of the Services and supersede prior or contemporaneous agreements, communications, and proposals relating to that use, whether oral or written.

Any ambiguity in these Terms will be interpreted in accordance with applicable law and will not automatically be construed against the drafting party.

SECTION 20 — ASSIGNMENT

You may not delegate, transfer, or assign these Terms or your rights or obligations under them without our prior written consent, except where such restriction is prohibited by applicable law. Any prohibited attempted assignment is void.

Cloudette may transfer, assign, or delegate these Terms and its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction, or as otherwise permitted by applicable law.

SECTION 21 — GOVERNING LAW

These Terms and any separate agreement through which Cloudette provides the Services will be governed by the laws applicable in the jurisdiction where Cloudette is headquartered, without regard to conflict-of-law rules, except to the extent that mandatory consumer-protection laws in your place of residence apply.

Any dispute will be subject to the jurisdiction and venue of courts with lawful authority over the dispute. Nothing in this section limits any right to bring a claim in another forum where applicable law permits or requires it.
